4. Payment and Refund Policy

Payment Terms:

• Payment is due according to the terms specified in your project agreement
• We typically require a 50% deposit before commencing work
• All prices are in United States Dollars (USD) unless otherwise specified
• Late payments may result in project suspension and late fees

Refund Policy:

• Deposits are non-refundable once work has commenced
• Refunds for completed work are provided only in cases of non-delivery
• Client dissatisfaction with subjective design elements does not constitute grounds for refund
• Refund requests must be submitted in writing within 30 days

5. Intellectual Property Rights

Our Intellectual Property:

The Services, including all content, features, functionality, designs, logos, and graphics, are owned by Creative Design Studio and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Content:

• You retain all rights to content you provide to us ("Client Content")
• You grant us a license to use Client Content solely for providing Services
• You warrant that you own or have rights to all Client Content provided

Deliverables:

• Upon full payment, you receive rights to final deliverables as specified in project agreements
• We retain the right to use completed work in our portfolio unless otherwise agreed
• Source files and preliminary concepts remain our property unless purchased separately
• Unauthorized reproduction or distribution of our work is strictly prohibited

6. Prohibited Uses

You agree not to use our Services to:

• Violate any applicable local, state, national, or international law
• Infringe upon or violate our intellectual property rights or those of others
• Harass, abuse, insult, harm, defame, slander, disparage, or discriminate
• Submit false or misleading information
• Upload or transmit viruses or malicious code
• Collect or track personal information of others without consent
• Spam, phish, or engage in any automated use of the system
• Interfere with or circumvent security features of the Services

We do not warrant that:

• Any errors in the Services will be corrected

8. Limitation of Liability

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Termination by You:

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

Effects of Termination:

• All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability
• We are not obligated to store or provide access to your content after termination
• Outstanding payment obligations remain due
• Work-in-progress will be handled according to the project agreement

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Creative Design Studio is registered, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located within the United States, and the parties hereby consent to personal jurisdiction and venue therein.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Dispute Resolution

Informal Resolution:

We prefer to resolve disputes informally. Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration:

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.

• The arbitration shall be conducted in the state where our business is registered
• Each party shall bear its own costs and attorneys' fees
• The arbitrator's decision shall be final and binding
• Judgment on the award may be entered in any court having jurisdiction

Class Action Waiver:

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
